Impact of The SEC’s New Marketing Rule on Private Fund Advisors


The SEC’s Marketing Rule, adopted on December 22, 2020, expressly applies to certain communications with private fund investors and not just advisory clients of a Registered Investment Advisor (“RIA”). Many of these communications to private fund investors fall within the definition of “advertisement.” Therefore, the rule will significantly impact the market efforts of advisors to private funds.
